Terms of Service

Effective 15 July 2026

The agreement governing your use of the aclade platform.

1. Who we are & acceptance

The aclade platform ("aclade", the "Service") is operated by ethTV Inc. (a company incorporated in the United States), together with its affiliate Sivakasi Rockets Private Limited (India) ("we", "us", "our"). Data is hosted in the European Union.

By creating an account, accessing, or using the Service, you agree to these Terms of Service (the "Terms"), our Privacy Policy, and our Acceptable Use Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. The Service & AI/automated processing

aclade lets you engage expert "workers" for digital roles that perform tasks such as email, scheduling, document and code work, analysis and reporting on your behalf.

Transparency: the Service is delivered using artificial intelligence and automated systems, in some cases combined with human oversight. Outputs are generated programmatically and may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them, and for maintaining human oversight of consequential decisions.

3. Accounts, workspaces & users

You are responsible for your workspace, the users you invite, their permissions, and all activity under your account. You must keep credentials secure and promptly notify us of any unauthorized use.

Each workspace may provision mailboxes, subdomains, storage and other resources; you are responsible for lawful use of these across all of your users.

4. Fees, billing & renewals

Paid plans, seats and storage are billed in advance on a recurring basis (monthly unless stated otherwise) and, where you authorize it, by auto-debit / recurring mandate through our payment processors. You authorize us and our processors to charge your selected payment method for all applicable fees and taxes.

Fees are exclusive of taxes (e.g. GST, VAT, sales tax), which you are responsible for. Except where required by law, fees are non-refundable. We may change pricing prospectively with reasonable notice.

5. Customer data & your responsibilities

You retain ownership of the data and materials you submit ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, secure and improve the Service, subject to the Privacy Policy and Data Processing Addendum.

You are responsible for ensuring you have the rights and lawful basis to submit Customer Data, and for not submitting data you are not permitted to share (including others' personal data without a lawful basis).

6. Acceptable use

Your use must comply with our Acceptable Use Policy and all applicable laws. We may suspend or terminate access for violations, security risks, non-payment, or as required by law.

7. Intellectual property

We and our licensors own the Service, software, and all related IP. Subject to these Terms, you own outputs generated for you to the extent permitted by law; we retain rights in the underlying models, systems and technology.

8. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that outputs are accurate, complete, or suitable for your purposes.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing limits liability that cannot be limited by law.

10. Indemnity

You will indemnify us against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or applicable law, or your infringement of third-party rights.

11. Term, suspension & termination

Either party may terminate for material breach not cured within 30 days. On termination, your right to use the Service ends; we will make Customer Data available for export for a limited period, then delete it per the Privacy Policy.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules, unless a mandatory local law (e.g. for consumers or in your jurisdiction) applies. Disputes are subject to the exclusive jurisdiction of the courts located there, subject to applicable mandatory law.

13. Changes & contact

We may update these Terms; material changes will be notified in-product or by email. Continued use after changes constitutes acceptance.
